TRUST CENTER / TERMS OF USE

Terms of Use

Terms of Use

October 19, 2026

These Terms are the agreement between you and SPOT, a Texas corporation ("SPOT," "we," "us"), for using the SPOT apps, getspotapp.com and related services (the "Services"). Please read them. They cover how reservations work, what happens when rules are broken, and how disputes are resolved.

IMPORTANT

The Disputes and governing law section says most disputes are resolved by individual arbitration rather than in court, and that you waive class actions. You can opt out within 30 days.

01 Accounts and eligibility

One adult, one account, kept accurate and secure.

Who can use SPOT. You must be at least 18 years old and able to form a binding contract. If you drive to a reserved space, you are responsible for being properly licensed and insured, and for your vehicle being registered and roadworthy. The information you give us must be accurate, and you agree to keep it current. Your account. One person per account. Keep your login secure; you are responsible for activity on your account. Tell us right away at [LEGAL EMAIL] if you think someone else has accessed it. Business or fleet accounts may be covered by separate terms. Ending your account. You can close your account at any time in the app. We may suspend or end your access if you breach these Terms, create risk to people or property, commit fraud, or if the law requires it. Where it is reasonable to do so, we will tell you why. Sections that by their nature should survive termination survive it, including payment obligations, 06 SPOT Wallet, 09 IP, 11 Disclaimers & liability, 12 Disputes and 15 General. What happens to any SPOT Cash balance is covered in 06 SPOT Wallet.

02 Reservations and front-row spaces

Your confirmed reservation holds a front-row space

What SPOT does. SPOT lets you search for, reserve and navigate to front-row parking at participating venues and properties ("Locations"). SPOT engages in a private arrangement with the Locations, and manages how the spaces are reserved and enforced. Each Location is owned or operated by a third party, whose site rules may also apply. Booking. A reservation is confirmed only when you receive a confirmation in the app or by email. The confirmation shows the Location, SPOT Number, start and end time, vehicle and plate, and the total price. What a reservation is. A reservation is a limited, revocable license to park one vehicle in the reserved space or zone during the reserved window. It is not a lease of real property and it does not create a bailment. SPOT does not take possession, custody or control of your vehicle, its keys or its contents. Arrival. Arrive within 15 minutes of your start time. After that, the space may be released and the reservation treated as a no-show under 05 Refunds. Changing your vehicle. You can change the vehicle and plate on a reservation in the app at any time before you arrive. Only the vehicle and plate on the reservation may use the space. No resale. Reservations are for your personal use. You may not resell a reservation, or transfer it to anyone else for payment or other value. Availability. Spaces shown in search are not held until you book, and inventory can change. "Front-row" describes the premium, close-in placement of a space at a Location; exact distance, layout and views vary by Location. If a reserved space becomes unavailable, you get the remedy in 05 Refunds. Accessible parking. SPOT never sells, reserves or blocks spaces designated as accessible under the Americans with Disabilities Act or state law. Drivers with a valid placard or plate may use accessible spaces under the Location's normal rules.

03 Parking rules and enforcement

Follow the signs and the bollards, and the space stays yours.

You agree to follow posted signs, Location rules, SPOT instructions in the app, and all traffic and parking laws. Bollards and barriers. SPOT Locations are protected by bollards or barriers that lower for your reservation. Wait until a bollard has fully retracted before moving, and never drive over or around one. Do not tamper with, damage, disable or force any bollard, barrier, sign or sensor. If something isn't working, report it in the app and wait for help. You are responsible for damage you cause to SPOT or Location equipment. Overstays. You have a grace period of 5 minutes after your end time. After that, you may be automatically charged the current price for 1 hour, plus a $5 convenience fee, and the vehicle may be subject to the enforcement below. Towing and booting. A vehicle parked in a SPOT space without a valid reservation, outside its reserved window and grace period, or in breach of these Terms may be towed or booted at the owner's expense. Towing and booting are carried out only as posted on signs at the Location and as permitted by law, including the Texas Towing and Booting Act (Texas Occupations Code Chapter 2308) in Texas and applicable New York State and local law in New York. Towing, booting, storage and release fees are set and charged as the law allows, and SPOT is not responsible for those fees when they result from your breach. If you believe a tow or boot was wrongful, you may have rights under those laws, including a hearing, and you can contact us at enforcement@getspotapp.com. Other steps we may take. For a breach of these rules we may also cancel the reservation without a refund or suspend your account. Driving safely. Directions come from third-party map services and may be wrong or out of date. Follow road signs, traffic laws and your own judgment. Don't handle your phone while driving. Drive slowly at Locations, watch for pedestrians and follow staff instructions.

04 Pricing and fees

The price you see when you book is the total you pay.

All-in pricing. Before you book, we show the total price of the reservation, including every mandatory fee we charge (such as service or booking fees). We don't add mandatory fees later in checkout. Taxes may be shown separately where the law allows, and the total including taxes is shown before you pay. Optional add-ons are shown separately and only charged if you choose them. Event and demand pricing. Prices vary by Location, date, time, event and demand. Event pricing or demand-based pricing is disclosed in the app before you buy. Once a reservation is confirmed, its price will not change, except for extensions you buy or overstay charges under 03 Parking rules. Payment. Payments are processed by Stripe, LLC. By adding a payment method, you authorize SPOT and Stripe, LLC] to charge it for reservations, extensions, overstay and violation fees, and SPOT Wallet loads you approve under these Terms. If a payment fails, we may cancel the reservation or ask you to update your payment method. Billing questions. If a charge looks wrong, contact us at billing@getspotapp.com. We usually resolve billing issues quickly that way. This doesn't limit any right you have to dispute a charge with your card issuer. Future plans and auto-renewal. SPOT does not currently offer subscriptions. If we offer a membership or other plan that renews automatically, we will, before you sign up, clearly and conspicuously disclose the price, billing frequency, that it renews until you cancel, any free-trial terms and how to cancel; get your affirmative consent; and send you an acknowledgment with cancellation instructions. You will be able to cancel online or in the app as easily as you signed up, and we will send renewal and price-change notices where the law requires. These commitments are designed to meet the Restore Online Shoppers' Confidence Act, applicable Federal Trade Commission rules, New York General Business Law Sections 527 and 527-a, and other applicable state law.

05 Refunds

Plans change. Here is what you get back, and when.

If a specific Location or event shows different cancellation terms at checkout, those terms apply to that reservation. You can cancel a reservation in the app. Cancellations made within 5 minutes of booking receive a full refund, including fees. Cancellations made after that are not refunded, unless checkout terms for that reservation say otherwise. No-shows. If you don't arrive within 15 minutes of your start time and haven't cancelled, the reservation is a no-show and is not refunded. Leaving early does not trigger a partial refund. If your reserved space is unavailable when you arrive and it isn't your fault, report it in the app. We will offer you a rebooking. If we can't, or you don't want the alternative, you get a full refund, including fees. Overstay and violation fees. Overstay and violation fees are not refunded unless they were charged in error. How refunds are paid. You choose where a refund goes: your original payment method or your SPOT Wallet. We issue refunds within 5 business days of approval. Refunds to a card or bank can take another 5 to 10 business days to appear, depending on your bank. Refunds to your SPOT Wallet appear right away. Refunded promotional credit returns as promotional credit and keeps its original expiry date. Think we got it wrong? Contact legal@getspotapp.com or use Help in the app within 30 days of the reservation. We reply within 3 business days. Your legal rights. Nothing in this section limits rights you have under applicable consumer protection law.

06 SPOT Wallet

This section is the SPOT Wallet and SPOT Cash terms. It applies when you use SPOT Wallet. What SPOT Cash is. SPOT Cash is a prepaid balance in your SPOT account that you can use only to pay SPOT for reservations, extensions and fees through the Services. It cannot be used with any other merchant. SPOT Cash is: not a bank account, deposit or line of credit; not insured by the FDIC or any government agency; not interest-bearing; not transferable to another user or account, and not redeemable for cash except as stated in this section or required by law. Two kinds of balance. Purchased SPOT Cash is money you load with a payment method; it does not expire. Promotional credit comes from referrals, promotions or goodwill; it has no cash value, and any expiry date is shown when it is issued. When you pay, promotional credit is used first, then purchased SPOT Cash. Loading your wallet. Loads are processed by Stripe, LLC. We may limit, delay or verify loads to prevent fraud or comply with law. No fees. There are no fees to load, hold or use SPOT Cash. SPOT never charges dormancy, inactivity or maintenance fees. Purchased SPOT Cash is not refundable, except for where the law requires a refund. Promotional credit is never redeemable for cash. Your balance and history. Your balance and transaction history are always available in the app. Errors and unauthorized activity. If you see a transaction you didn't make, or an error, tell us at wallet@getspotapp.com within 60 days. We will investigate and correct confirmed errors. If someone uses your account because you shared your login, you may be responsible for those transactions. Unclaimed balances. If your account has no activity for 3 years, we may be required to report and transfer your remaining purchased SPOT Cash to the State of Texas, or to another state, as unclaimed property under the Texas unclaimed property law (Texas Property Code Title 6) and other applicable state law. We will try to contact you before we do. After that, you can claim the funds from the state. Closing your account. When you close your account, we refund the remaining purchased SPOT Cash to your original payment method (or, if that isn't possible, by another method we agree with you). Promotional credit ends when the account closes. If we close an account for suspected fraud, we may hold the balance while we investigate and as the law allows. Changes to these Wallet terms. We give at least 30 days' notice of changes to this section. A change will never reduce a purchased balance you already hold.

07 Text messages

Login codes and reservation updates by text, with a clear way to stop.

What we send. If you give us your mobile number, SPOT may send you text messages for account security (such as login codes), reservation confirmations, reminders and updates. We send marketing texts only if you separately agree to receive them, and that agreement is given by your express written consent, such as a checkbox at sign-up. Marketing texts may be sent using automated technology. Consent is optional. Consent to receive marketing texts is not a condition of any purchase. The details. Message frequency varies. Message and data rates may apply. Reply STOP to any message to opt out, or HELP for help. You can also contact lega@getspotapp.com. After you reply STOP, we will send one message confirming your opt-out. If you opt out of security texts, you may need another way to sign in. Carriers. Mobile carriers are not liable for delayed or undelivered messages. Your number. Tell us if you change or give up your mobile number. Our Privacy Policy explains how we use your number.

08 Acceptable use

Use SPOT the way it's meant to be used, and respect everyone else.

You agree not to: give false information, or book with a plate or payment method you aren't authorized to use; resell, scalp or re-list reservations, or transfer them for payment or other value; tamper with or interfere with bollards, sensors, signs, equipment or other people's vehicles; park in a space you haven't reserved, or outside the lines of your space or zone; scrape, copy, reverse engineer, overload, probe or disrupt the Services, except as allowed by our Vulnerability Disclosure Policy at /trust/security; use bots or automated means to book or hold spaces; use the Services to harass anyone, break the law or infringe anyone's rights; create multiple accounts to abuse promotions or avoid enforcement. Third parties. The Services connect to services we don't control, such as Locations, map providers, Apple, Google and Stripe. Their own terms and policies apply when you use them, and we're not responsible for their acts or content.

09 Intellectual property

10 Non-discrimination

Every driver gets the same SPOT, and the same respect.

SPOT serves everyone. We do not discriminate on the basis of race, color, religion, creed, sex, sexual orientation, gender identity or expression, national origin, ancestry, citizenship, disability, age, marital status, military or veteran status, or any other characteristic protected by law. Accessibility. We want the Services to be usable by everyone. If you need accommodation, have trouble using the app or website, or want to tell us about an accessibility barrier at a Location, contact legal@getspotapp.com. We will respond within 3 business days.

11 Disclaimers and liability

Where SPOT's responsibility begins and ends.

Your vehicle and belongings. You are responsible for your vehicle, its contents and locking it. Because a reservation is a license to park and not a bailment, SPOT is not responsible for theft of or damage to your vehicle or its contents, except to the extent caused by SPOT's negligence, gross negligence or willful misconduct where the law does not allow that responsibility to be excluded. Report any incident to the Location operator, to us at legal@getspotapp.com and, if appropriate, to the police. Disclaimers. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SPOT DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DIRECTIONS WILL BE ACCURATE. Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW: (A) SPOT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, MISSED EVENTS OR LOST TIME; AND (B) SPOT'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID SPOT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100. What these limits don't cover. These disclaimers and limits do not apply to liability for SPOT's gross negligence, willful misconduct or fraud, or for death or personal injury caused by SPOT's negligence, or to any other liability that cannot be limited or excluded by law. Nothing in these Terms waives or limits rights you have that cannot be waived under the Texas Deceptive Trade Practices-Consumer Protection Act, New York law (including New York General Obligations Law Section 5-325, which applies to paid parking) or other applicable consumer protection law. Indemnity. To the extent permitted by law, you agree to defend and indemnify SPOT and its officers, employees and Location partners against third-party claims arising from your breach of these Terms, your misuse of the Services, or damage caused by your vehicle or driving.

12 Disputes and governing law

Talk to us first. If that fails, disputes go to individual arbitration.

Informal resolution first (60 days). Before starting arbitration or a small claims case, you and SPOT each agree to send the other a written notice of dispute and try to resolve it informally for 60 days. Send your notice to legal@getspotapp.com; we will send ours to the email on your account. The notice must include your name, account email, a description of the dispute and the relief you want. If asked, each side will join an individual call in good faith. Statutes of limitation and filing-fee deadlines are paused during the 60 days. Agreement to arbitrate. If the dispute isn't resolved within 60 days, you and SPOT agree that any dispute, claim or controversy relating to the Services or these Terms will be resolved by binding individual arbitration, not in court. This agreement is governed by the Federal Arbitration Act. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, before one arbitrator. Hearings may be held by video or phone, or in person in the county where you live. The arbitrator decides all questions of arbitrability, except as stated below for the class action waiver and the mass arbitration provisions.. Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and it stays there unless moved to a court of general jurisdiction. Either of us may also go to court to stop misuse or infringement of intellectual property. Public injunctive relief. The arbitrator can award relief only to you individually. If you seek public injunctive relief and a court decides the law does not allow waiving that right, that request for relief will be severed and decided by a court only after the individual claims are arbitrated, and the rest of this section still applies. Mass arbitration. If 25 or more similar demands are filed against SPOT or by SPOT by the same or coordinated counsel or organizations, they will be administered in batches under the AAA Mass Arbitration Supplementary Rules (or the provider's similar rules then in effect). Each batch of up to 100 demands will be assigned to one arbitrator, with one set of fees per batch, and batches will proceed in sequence. Statutes of limitation are paused for all demands while they wait. Either side may ask a court to enforce this paragraph. Class action waiver. YOU AND SPOT MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. If a court finally decides this waiver is unenforceable for a particular claim or remedy, then that claim or remedy (and only that one) will be severed from arbitration and decided in court, and will not proceed in arbitration on a class basis. Jury trial waiver. IF A DISPUTE PROCEEDS IN COURT INSTEAD OF ARBITRATION, YOU AND SPOT WAIVE ANY RIGHT TO A JURY TRIAL, TO THE EXTENT PERMITTED BY LAW. 30-day opt-out. You can opt out of this agreement to arbitrate by emailing legal@getspotapp.com within 30 days of first accepting these Terms, with your name, account email and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms. Changes to this section. If we make a material change to this section, it will not apply to a dispute already noticed or filed before the change takes effect, and you can reject the change by emailing legal@getspotapp.com within 30 days of notice. Governing law and venue. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs this section. Any matter that is not arbitrated will be brought only in the state or federal courts located in Texas, and you and SPOT consent to their jurisdiction. This does not take away any non-waivable right you have to bring a claim where you live.

13 Changes

When something material changes, you hear from us at least 7 days ahead.

We may update these Terms. We will notify you of material changes by email or in the app at least [7] days before they take effect, and update the "Last updated" date above. Changes required by law, or needed to protect safety or security, may take effect sooner. If you keep using the Services after the effective date, the updated Terms apply. If you don't agree, you can stop using the Services and close your account before then. Changes do not apply to disputes that began before the update, and changes to 12 Disputes follow the rule in that section.

14 App store terms

Extra terms that apply when you get the app from Apple or Google.

Apple App Store. If you downloaded the app from Apple's App Store: These Terms are between you and SPOT only, not Apple. SPOT, not Apple, is solely responsible for the app and its content. Your license to use the app is limited to Apple-branded products you own or control, as permitted by the Usage Rules in Apple's Media Services Terms and Conditions (except that the app may be accessed by other accounts associated with you through Family Sharing or volume purchasing). Apple has no obligation to provide any maintenance or support for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app. To the maximum extent permitted by law, Apple has no other warranty obligation for the app. Any other claims, losses, liabilities, damages, costs or expenses from a failure to conform to a warranty are SPOT's responsibility, to the extent not effectively disclaimed in these Terms. SPOT, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to any legal or regulatory requirement, and claims under consumer protection, privacy or similar laws. If a third party claims that the app or your possession or use of it infringes their intellectual property rights, SPOT, not Apple, is solely responsible for investigating, defending, settling and discharging that claim. You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties. You must comply with applicable third-party terms when using the app, such as your wireless data service agreement. Questions, complaints or claims about the app go to SPOT using the details in 16 Contact. Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right (and is deemed to have accepted the right) to enforce them against you as a third-party beneficiary. Google Play. If you downloaded the app from Google Play: these Terms are between you and SPOT only, not Google, and SPOT is solely responsible for the app, its support and any claims about it. Your use of Google Play is also governed by the Google Play Terms of Service, and if those terms conflict with these Terms about your use of Google Play, the Google Play terms apply to that conflict. Google has no obligation to provide maintenance or support for the app.

15 General

The legal housekeeping: the whole agreement, and how it fits together.

Entire agreement. These Terms, together with the Privacy Policy and any terms shown at checkout for a reservation, are the entire agreement between you and SPOT about the Services, and replace any earlier agreements on the subject. Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent allowed and the rest stays in effect, except as stated for the class action waiver in 12 Disputes. No waiver. If we don't enforce a part of these Terms, that isn't a waiver of our right to enforce it later. Assignment. You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate, with notice to you. Force majeure. Neither of us is liable for delays or failures caused by events beyond reasonable control, such as severe weather, natural disasters, power or network outages, government action, strikes, or police or fire activity. This doesn't affect your refund rights under 05 Refunds. Export. You may not use, export or re-export the app in violation of U.S. export control and sanctions laws. Notices. We may send you notices by email to the address on your account, in the app or by text message where you've agreed to texts. You can send legal notices to SPOT at legal@getspotapp.com. Notices to SPOT under 12 Disputes must follow that section. Relationship. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and SPOT.
